Billboard Ad Agreement
The Member Advertiser shall indemnify, defend, and hold harmless The Staten Island Chamber of Commerce and Lamar and their respective officers, directors, employees, agents, and affiliates (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) the content of the advertisement provided by the Member Advertiser, including but not limited to any claims of infringement of intellectual property rights, defamation, invasion of privacy, or violation of any law or regulation;
(b) any breach by the Member Advertiser of its representations, warranties, or obligations under this Agreement; and
(c) any act or omission of the Member Advertiser in connection with the creation, submission, or display of the advertisement.
This indemnification obligation shall survive the termination or expiration of this Agreement.
